Terms of Service
1. Parties
These Terms of Service ("Terms") govern the relationship between RoomCloud Distribuzione S.r.l., P.IVA IT 04739561028, iscritta al REA di Milano n° MI-2874321, capitale sociale € 50.000 interamente versato, con sede legale in Via Torino 42, 20123 Milano, Italia ("we", "us", the "Provider"), and any legal entity or sole trader that subscribes to a RoomCloud module (the "Client").
2. Service scope
We licence to the Client the right to use the RoomCloud channel-management platform, associated modules and the Room Cloud extranet, as described on /catalog. Licence terms are per-property and per-month unless the order confirmation says otherwise.
3. Fees and billing
Subscription fees are billed monthly in advance in EUR. One-off setup fees are invoiced at contract signing. All figures on this website are exclusive of Italian IVA (VAT 22%) unless clearly labelled otherwise. Payment terms are 14 days net. Electronic invoicing is issued through the Sistema di Interscambio (SdI) in line with Italian tax obligations.
4. Cancellation
Either party may terminate a monthly subscription with 30 days written notice. Setup services, once delivered, are non-refundable. See the Refund Policy for exceptions. Consumer clients are also entitled to the 14-day right of withdrawal under the Codice del Consumo (D.Lgs. 206/2005) where applicable.
5. Uptime and support
Target platform availability is 99.5% measured monthly, excluding scheduled maintenance windows announced at least 48 hours in advance. Support is provided in English and Italian via email and phone during 08:00–20:00 CET, Monday to Saturday.
6. Data ownership
The Client retains all rights to reservation and guest data collected through the platform. We act as processor under the Codice della Privacy (D.Lgs. 196/2003 as amended) and Regulation (EU) 2016/679 (GDPR), and are registered with the Garante per la Protezione dei Dati Personali under n° IT-002-8734/2022. 7. E-commerce and information duties
The Provider complies with D.Lgs. 70/2003 on electronic commerce and provides pre-contractual disclosures on this site and inside the order confirmation email, in line with Italian consumer-protection law.
8. Liability
Our aggregate liability under a subscription in any 12-month period is capped at the fees paid by the Client for that subscription in the preceding 12 months. We are not liable for indirect losses, lost profits or third-party OTA errors.
9. Governing law and disputes
These Terms are governed by the laws of the Italian Republic. Any dispute will be submitted first to good-faith negotiation, then to the Foro competente: Tribunale di Milano as the exclusive court of jurisdiction.
